Job Summary

The Enterprise Risk Management (ERM) Policy and Governance Risk Analyst will support the preparation of materials and administrative activities for Key’s ERM Committee and the Risk Committee of the Board. The Analyst will serve as a trusted advisor to Risk Governance Committee administrators and secretaries across the enterprise, including by assisting with committee materials requested for examinations or reviews by internal audit, Credit Risk Review, control testing, and regulator requests. The Analyst will help ensure standardized governance processes for Risk Governance Committees, including charter content, approval activities, and escalation of appropriate materials to the ERM Committee, Risk Committee of the Board, Board of Directors, and/or other Board Committees, as applicable. This role will also take a leadership role in promoting committee governance and ensuring Key’s risk committees and related administrative activities align with Key’s standards and regulatory requirements.

Essential Job Functions

• Assist with maintenance of Diligent Access in accordance with approved Committee Membership needs.
• Support planning and administration of the ERM Committee and Risk Committee of the Board, including close coordination with meeting secretaries as applicable.
• Gather committee materials, build and publish committee decks through Diligent, and collect prior meeting minutes.
• Ensure awareness of and adherence to the ERM Policy, Policy Governance Policy, and Policy & Charter Standards.
• Review and perform quality control over committee materials for the enterprise, ensuring consistency and adherence to governance templates.
• Support enterprise processes around submission of official committee governance materials to regulatory agencies.
• Identify and create clear linkages between ERM and other risk governance committee / policy requirements.
• Support effective administration of Level I, Level II, and Level III Risk Governance Committees, including participation in Risk Committee Administrator meetings as needed.
• Advise committee administrators and secretaries on charter development, review, revision, approval, and communication.
• Provide oversight of risk governance committee charters to promote consistency with business strategy, risk appetite, governance standards, and regulatory expectations.
• Provide committee governance information and materials in response to regulatory reviews, audits, examinations, and internal control testing.
• Conduct gap analysis of Key’s enterprise risk management practices to existing or proposed regulations / guidance.
• Assist in the annual review of Risk Governance Committee Charters.
• Maintain the Risk Committee Charter Inventory as a current catalog of charter status.
• Support annual Risk Committee Charter Certification under the Policy Governance Policy.
• Administer periodic Level II Risk Governance Committee Self-Assessments and report on results.
• Facilitate Risk Management review and challenge of committee charters.
• Assist with control testing for policy and governance-related controls.

• Ability to communicate and interface effectively with senior management, line-of-business partners, Key Legal, regulators, and other stakeholders.
• Strong business acumen with the ability to assess implications of committee governance or policy changes.
• Ability to conduct research, synthesize findings, and formulate approval-ready recommendations.
• Excellent communication skills, including the ability to ask thoughtful questions, articulate policy changes, and draft clear policies and related communications.
• Ability to adjust approaches as circumstances evolve.
• Results-oriented with strong follow-through and the ability to prompt decisions and generate outcomes through others.
• Strategic thinker with strong attention to detail.
• Proficient user of Archer Governance Risk & Compliance (GRC) (related to risks, controls, findings, and remediation plans)

Required Qualifications

• Undergraduate degree in a business discipline or related field of study
• 5 or more years work experience in a policy, governance or regulatory related capacity

Preferred Qualifications

• MBA Preferred
• Demonstrated competency with financial regulations
• Experience with paralegal work and/or corporate governance
• Solid working knowledge of the organization, lines of business, support partners, business processes and operations

COMPENSATION AND BENEFITS

This position is eligible to earn a base salary in the range of $116,000.00 - $216,000.00 annually. Placement within the pay range may differ based upon various factors, including but not limited to skills, experience and geographic location. Compensation for this role also includes eligibility for incentive compensation which may include production, commission, and/or discretionary incentives.
