Job Description:

The Manager in Tax Transaction Advisory plays a central role in managing the day-to-day delivery of high-quality transaction-related tax services. This position is responsible for leading engagement workstreams and selected engagements, translating complex tax findings into practical client advice, and supporting the execution of the firm's national Tax Transaction Advisory strategy. The role requires strong technical judgment, disciplined project management, effective client service, and a commitment to developing team members.

Key Responsibilities:

• Manages multiple concurrent transaction engagement workstreams, planning and coordinating tax due diligence, structuring, and advisory services for mergers, acquisitions, dispositions, and restructurings undertaken by private equity sponsors and corporate acquirers
• Identifies, evaluates, and communicates tax exposures and planning opportunities, develops tax-efficient transaction alternatives, and escalates significant technical or risk matters to senior engagement leaders
• Reviews tax returns, workpapers, data-room materials, transaction documentation, and team analyses; synthesizes findings and ensures conclusions are supported, accurate, and relevant to the transaction
• Prepares and reviews client-ready diligence reports, technical memoranda, structuring analyses, and other engagement deliverables, including comments on tax provisions in merger and purchase agreements
• Reviews tax-related assumptions and calculations within client financial models and leads quantitative and qualitative assessments of tax impacts on projected transaction outcomes
• Manages day-to-day engagement economics and administration, including work plans, scope, budgets, timelines, billing support, and adherence to quality and risk management standards
• Coordinates with professionals across domestic and international offices and other service lines to integrate specialist findings and deliver cohesive client solutions
• Develops and maintains effective client relationships by leading routine status and diligence calls, presenting findings, managing expectations, and responding promptly to client needs
• Supports proposals, pursuit activities, market initiatives, and the expansion of services with new and existing clients while coaching and developing staff and senior team members
• Performs additional responsibilities as business needs require

Leadership & Supervision

• Provides day-to-day supervision to staff and senior team members by allocating work, reviewing deliverables, monitoring progress, delivering timely feedback, and escalating significant performance, technical, or engagement matters

Required Qualifications:

• Bachelor's degree in Accounting, Finance, Tax, or related field required
• Active CPA license, U.S.-admitted attorney status, IRS Enrolled Agent (EA), or equivalent professional credential required
• Minimum of five (5) years of experience in a professional services, public accounting, corporate tax, or law firm environment
• At least two (2) years of direct experience in tax transaction advisory services or closely related mergers and acquisitions tax work
• Demonstrated experience leading engagement workstreams, reviewing the work of others, and managing deliverables within transaction timelines required
• Proficiency with Microsoft Excel, Word, and PowerPoint required

Preferred Qualifications:

• Advanced degree such as a Juris Doctor (JD), Master of Laws (LLM - Tax), or Master's in Accounting or Taxation preferred
• Additional relevant certifications or professional designations are a plus

Technical Skills & Core Competencies

• Demonstrated ability to manage multiple concurrent engagement workstreams and coordinate client service teams in a deadline-driven environment
• Strong written and verbal communication skills, with the ability to translate complex tax concepts into clear, practical conclusions for clients and engagement teams
• Strong working knowledge across U.S. federal income tax matters and the ability to identify when state, local, or international specialists should be engaged
• Working knowledge of non-income-based taxes, including indirect, payroll, property, and other transactional tax regimes
• Solid understanding of U.S. GAAP, particularly accounting for income taxes, and the interaction of tax findings with financial statements and transaction models
• Ability to review transaction agreements, recognize tax controversy and procedural considerations, and apply sound judgment in escalating technical and engagement risks
• Willingness and ability to travel as business needs dictate

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $102,500.00 - $209,400.00 per year.

This role follows a hybrid work model for candidates located near a Crowe office. Candidates who are not within commuting distance of a Crowe office may be considered for a remote work arrangement, subject to business needs.
